Position Overview
Arnold & Porter, a globally recognized law firm established in 1946 with over 1,000 attorneys across 14 offices, is renowned for its excellence in litigation, regulatory, and corporate law. The firm supports high-growth companies, investors, and major institutions through all stages of corporate development. In this role, you will lead and support M&A and venture capital transactions; represent founders, investors, and startups; draft and negotiate transactional and governance documents; advise on financings, exits, and corporate structure; and manage portions of complex deals independently. Job Type: Full-time. Compensation: $200,000.00 - $400,000.00 per year. Location: Seattle, WA 98101 (Preferred). Work Location: In person. Application Question: what is your visa type?
Key Responsibilities
- Lead and support M&A and venture capital transactions
- Represent founders, investors, and startups throughout their lifecycle
- Draft and negotiate transactional and governance documents
- Advise clients on financings, exits, and corporate structure
- Manage portions of complex deals independently
- Collaborate with regulatory, IP, and tax attorneys internally as needed
Required Qualifications
- JD from an accredited law school with strong academic performance
- 3–6 years of experience in M&A and VC/EC work (class years 2018–2022)
- Experience with venture financings, startup counseling, and private company deals
- Strong drafting, negotiation, and client-facing skills
- Licensed or eligible to become licensed in California
Preferred Qualifications
- Experience working with high-growth companies
- Familiarity with investor-side term sheets
- Prior in-house counsel experience with a startup
